Merchant Terms

These Merchant Terms govern participation in the GoGifte marketplace. They exist to keep the marketplace fair, honest, and genuinely useful for gift-givers. By listing products or accepting a merchant account, you agree to them, alongside our Terms of Service.

1. Merchant Eligibility

To join, you must be a legitimate business able to enter binding contracts, sell the products you list, and meet applicable legal and consumer-protection requirements in the markets you serve. We may verify your identity and business details, and we may decline or remove merchants who create risk for gift-givers or the marketplace.

2. Product Requirements

Listings must be accurate, honest, and complete — correct titles, descriptions, images, pricing, and availability. Prohibited, unsafe, counterfeit, illegal, or misleading products aren't allowed. If a detail changes (price, stock, specification), keep your listing current. GoGifte never invents product details; we rely on the accuracy of yours.

3. Sponsorship Rules

Sponsorship buys visibility, never confidence. Sponsored placements are always clearly labelled, are bounded by influence caps, and never suppress better organic matches or inflate trust or confidence signals. Any attempt to disguise sponsorship, manipulate rankings, or purchase trust badges is a breach of these Terms. See our Trust & Transparency page for how this works.

4. Commission Structure

GoGifte may earn a commission or affiliate fee on qualifying sales referred through the Services. Applicable rates and categories are set out in your merchant agreement or dashboard. Commission never influences how products are ranked or recommended — it is the last factor we consider, behind relevance, recipient fit, quality, reliability, and value.

5. Payment Terms

Where GoGifte facilitates payouts or fees, amounts, schedules, and any thresholds are described in your merchant agreement. You're responsible for your own taxes and for providing accurate payout and billing information. We may withhold or adjust amounts to correct errors, resolve disputes, or address fraud.

6. Account Suspension

We may suspend or terminate a merchant account for breaching these Terms, misrepresenting products, harming gift-givers, or manipulating marketplace signals. Where practical and appropriate, we'll give notice and an opportunity to fix the issue. Serious or repeated violations may lead to immediate removal. Enforcement decisions follow documented, auditable governance principles.

7. Disputes & Arbitration

We aim to resolve merchant disputes fairly and informally first. If that isn't possible, disputes will be resolved under the governing law and dispute-resolution process set out in your merchant agreement and our Terms of Service. Nothing here removes rights you can't waive under applicable law.

8. Trademark Usage

You may use the GoGifte name and marks only as we expressly permit — for example, to indicate that your products are available through GoGifte — and always in line with any brand guidelines we provide. You grant GoGifte permission to display your brand name, logo, and product content as needed to list and promote your products on the marketplace. Neither party gains ownership of the other's marks.

Acceptance

Participating as a merchant means accepting these Terms. Acceptance is recorded during merchant onboarding and tracked internally so it's auditable. Questions before you commit? Email merchants@gogifte.com.
